NOW, THEREFORE THE PARTIES HERETO HEREBY AGREE AS FOLLOWS:
1.
Party shall keep all Information received from Mo6, in whatever form, as strictly con-
fidential and shall not disclose it to any third parties, including but not limited to any
company or party or subsidiaries or physical person that Party is affiliated or in contact
with, without the prior written permission of the Mo6, except as permitted pursuant to
clause 7 below.
2. The
Information received hereunder shall not be used for any purpose other than in a
possible co-operation with Mo6, or with any company that Mo6 will appoint, with the
intention to evaluate, specify, plan or develop a technology, process, material, product or
any other type of use of MOSIX (hereinafter the "Purpose") without the prior written
permission of the Mo6.
3. Party undertakes not to make any publication or article of any invention or information
in relation with the object and/or the purpose of this Agreement, without Mo6's prior
written approval.
4. Party undertakes not to file any Patent Application, relating to MOSIX in any way, or
which is based on any of the findings of the activities and/or experiments conducted in
the context of the Purpose of this Agreement, without Mo6's prior written approval. In
case Party would file a patent application without Mo6's prior written approval, Mo6
will automatically receive the royalty-free worldwide exclusive rights to such patent.
5.
Party acknowledges that Mo6 has not given any commitment to enter into the cooperation
or commercial relationship contemplated as described above. Until such time as the parties
may agree to enter into such relationship, use of the Information shall be strictly limited to
the Purpose.
6.
Party shall restrict access to Information received from Mo6 to only those to whom such
access is necessary for carrying out the Purpose.
